This Agreement sets out the legally binding terms of your use of the Site and your membership in the CharmingDate services (the "Service"). This Agreement includes CharmingDate's Privacy Policy, Refund Policy, subscription policies and any other policies, rules, regulations or notices regarding the Site or the use of the Services in effect from time to time.

• 1. Eligibility
  
  1.1  You are at least eighteen years old when you register to be a member of the Service. Membership of the Service is invalid where prohibited.
  
  1.2  By using this Site, you represent and warrant that you have the capacity to enter into this Agreement and to comply with all of its terms.
  
  
• 2. Registration
  
  2.1  Before you register to be a member of this Site, you are deemed to expressly know how this Site and the Service work and the ways we cooperate with various Russian and Eastern European service providers (collectively, "Agencies", "Suppliers", "Authorized Service Providers"). You may check for related details in our FAQs/Help pages.
  
  2.2  When you register with this Site, you are supposed to state your intention for using this Site in the profile, reminding other members of this point in case they misunderstand your intention.
  
  2.3  When you register to become a member; you agree to provide accurate, update and complete information about yourself as required. We reserve the right at any time to terminate your membership if you are found to provide inaccurate, outdated, incomplete or misleading information, as we may determine in our sole discretion.
  
  2.4  Access to CharmingDate requires completion of a simple registration process in order to obtain an Account and password necessary to become a member to enjoy the Service. We will open the Account for you when you complete your registration. You must provide complete and accurate information about yourself, and notify us to keep this information up to date.
  
  2.5  In some instances the Account may offer you the opportunity to obtain further services which become associated with your CharmingDate Account.
  
  2.6  By becoming a member, you agree to accept and consent to receiving email communications initiated from CharmingDate or its affiliates including, without limitation: message notification emails, matches updates, emails informing you of promotions that either are provided by CharmingDate. You may opt-out of receiving email communications sent from Us or through Us offering you third party goods or services.
  
  
• 3. Termination
  
  3.1  We may immediately terminate your membership and your access to the Service if you are found in breach of this Agreement. We reserve the right to take further action for the loss or the potential loss on our end and the ladies when necessary due to your breach of this Agreement, in our sole discretion. You will not be entitled to any refund of any used and/or unused fees upon any breach of this Agreement by you.
  
  3.2  You may terminate your membership at any time, for any reason, effective upon receipt by us of your written or email notice of termination. All the fees paid are nonrefundable unless with the reasons stated in the Refund Policy.
  
  3.3  Save as otherwise expressly provided in any additional terms governing the use of specific CharmingDate services, we do not charge you for joining CharmingDatas member , and as a consequence, we may cancel or suspend use of CharmingDate Service at any time, without cause and without notice.
  
  3.4  Your right to use the Service and your Account may end once your account is terminated and any data you have stored on CharmingDate may no longer be available to you. It is therefore important you maintain your own archive copies of any data that is valuable to you.
  
  3.5  If you have subscribed to any other products or services for which payment is necessary, you remain responsible for paying any amounts owed on your account at the time your account is terminated. If you are participating in any free promotional offer for accessing other Services you must cancel such Services before the end of the free trial period to avoid incurring charges.
  
  3.6  When you terminate your CharmingDate membership, your profile will be removed from public view. Should you wish to reinstate your profile within one year of deletion, you may do so by signing in the Account and reactivate the use of the Service. However, we do not guarantee that your previous correspondence sent through the Site may not be archived nor stored on file.
  
  
• 4. Online/Offline Conduct
  
  As a member of the Service, you understand and agree that:
  
  4.1  You have only ONE membership account on this Site at any point of time, and your membership in the Service is for your sole, personal use. You may not authorize others to use your membership, and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become members and should not use the Service for any purpose.
  
  4.2 You will be honest and serious in your communication and interactions with the Members with the intention of establishing a relationship.
  
  4.3  You will use this Site and the Service in a manner consistent with any and all applicable laws and regulations. You will not transmit defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights when using this Site and the Service.
  
  4.4  You will not make illegal and/or unauthorized uses of the Site and Service, including collecting usernames and/or email addresses of other members and/or ladies posted on this Site by electronic or other means for the purpose of sending unsolicited emails and unauthorized framing of or linking to the Site. Appropriate legal action will be taken on our side, including without limitation, civil, criminal, and injunctive redress.
  
  4.5  We are not responsible for the conduct, whether online or offline, of the ladies listed on this Site. Please use caution and common sense when using the Site and the Service. Your interactions with the female members posted on this Site are entirely at your own risk.
  
  4.6  You may not post, distribute, or reproduce in any way any copyrighted materials, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
  
  4.7  We are entitled to review and delete any contents, messages, photos or profiles (collectively, "Content") that in our sole judgment violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of this Site and Service, and the female member profiles posted on this Site and/or other members.
  
  4.8  This Fee Schedule quoted on this Site forms part of this Agreement. We reserve the right to change the fees for the Service at any time. If you are unhappy with any service fee changes you may terminate your membership by writing to us.
  
  
• 5. Your Use of the Service
  
  YYou acknowledge and agree that the form and nature of the Services which CharmingDate provides may change from time to time without giving prior notice. You may need to pay for certain Services provided on the Site such as Correspondence ("Mail") and Instant Messaging Service ("Live Chat Service"). We may change or discontinue any Service or feature on a Service at any time and without notice. We may impose general operating rules for the Services.
  
  You must pay us all charges for payable services used on your Account, whether used by you or another person with or without your permission.
  
  5.1 Correspondence
  
  By using the "Mail Service", you agree that:
  
  5.1.1  You know clearly how the Mail service works and accept the price stated on the Site.
  
  5.1.2  You must provide and maintain accurate, current and complete information about yourself in your profile.
  
  5.1.3  When using the Mail Service, whenever you send or receive a mail, one credit will be deducted automatically from your account. If you no longer wish to receive any mail from the lady whom you have ever corresponded with, list her profile ID in your block list, if not, you are deemed to give permission for female members to reply to you through our Mail service.
  
  5.1.4  You will be honest and serious in your communication with the female members, with the intent for the establishment of long-term relationships.
  
  5.1.5  You will not transmit defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights when using the Mail service.
  
  5.1.6  You will use this Service in a manner consistent with any and all applicable laws and regulations.
  
  5.1.7  If you communicate with our ladies merely for making friends, not for marriage, you are supposed to remind our ladies of the point in case that they misunderstand your intention.
  
  5.1.8  When cooperation between the Service and any local service provider that this Site cooperated was terminated under the request of either party with any reason, the Mail service that this Site provides will not be available to you and female members from this service provider since the date of termination. When this situation happens, you agree to build up direct correspondence with the female members by means of personal contact or through other ways other than the Service. You agree and accept that you will not require the return of Credits or refund for the cost spent on the Service for your communication with the female members from this local service provider.
  
  
• 6. About Credit and Payment
  
  6.1  You need to pay to use certain Services. CharmingDate allows you to purchase Credit allocated to your Account (“Credit”).
  
  6.2  To purchase payable Services you need a sufficient balance of Credit. Payments for certain Services must be made by credit or debit card or other means which may be made available where Credit is not an accepted method of payment.
  
  6.3  Credit can be used for 180 days from the date of purchase. Credit older than 180 days old in the Account will become expired. Payment for Credit purchase is non-refundable. Fees charged for one Service may not be credited towards other services.
  
  6.4  Price of the Credit is subject to change at all times, without any notice to you. To get the current price for each Credit please go to the certain account settings area. The new price will apply to your next purchase of Credit after the adjustments have been published on the CharmingDate account settings area. You agree that by continuing to purchase and/or use the Services following the adjustments of the price, you accept the new price.
  
  6.5  You shall pay CharmingDate any applicable charges as stated on the certain account settings area in connection with the purchase and use of the Credit or other payable Services.
  
  6.6  If there is no Credit stored in the Account, you will be subject to the limitations of the Services unless you elect to top up Credit balance in the Account. For certain payable Services where Credit is not an accepted method of payment, Services become limited or unavailable to you if you have not committed to the required transaction.
  
  6.7  In the event you believe that CharmingDate has charged you in error, you must contact CharmingDate within 90 days after such charge. No refunds will be given for any error charges which are more than 90 days old.
  
  6.8  CharmingDate reserves the right to stop accepting debit or credit cards from one or more issuers.
  
  
• 7. Privacy
  
  Use of this Site and/or its Service is governed by our Privacy Policy which may change from time to time.
  
  
• 8. Refund Policy
  
  Normally, fees paid are not refundable, unless with the reasons stated in our Refund Policy or other reasons acceptable to us. The Refund Policy on this Site is a part of this Agreement. We reserve the right to amend or alter the content of it at any time, and changes are effective upon posting.
  
  
• 9. Proprietary Rights of Contents of this Site
  
  9.1  Elite State Ltd. owns and retains other proprietary rights of this Site and the Service. The Site contains ladies profiles, photos, copyrighted material, trademarks and other proprietary information of Elite State Ltd., and its licensors. Except for those information which is in the public domain or for which you have been given permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
  
  9.2  You will not "frame" or "mirror" any part of the Site, without our prior written authorization. You also shall not use Meta tags or code or other devices containing any reference to this Site or the Service in order to direct any person to any other web site for any purpose.
  
  
• 10. Disclaimers
  
  10.1  All female members profiles and photos are submitted to this Site on an "AS-IS" basis by third parties - the local dating and marriage service providers in Russia and Eastern Europe that this Site cooperates with (collectively, "Agencies"). We cannot make thorough investigation on the accuracy of the information of those female members profiles posted on this Site, and/or those ladies' backgrounds, morality and conducts. Your use of the Site and this Service and your interactions with those female members are entirely at your own risk.
  
  10.2  As the service of the Site is provided and dealt with by third parties - the Agencies whom we cooperated with, we cannot monitor how those Agencies work when handling this Site related services, therefore at times dishonest conduct might occur. Hence, your caution is needed when using the Site and the Service. If you suspect improper activity of certain lady or the service of a service provider, you may report to us promptly so that we could carry out immediate investigation.
  
  10.3  We cannot guarantee and do not promise any specific results from using of the Site and/or the Service. We make no warranties, guarantees or representations as to any advice, opinion, statement or other information displayed, uploaded or distributed through the Site by us, our partners or any member or any other person or entity.
  
  10.4  We NEVER authorizes any third-party organization or individual, including without limitation, those local service providers this Site presently cooperates with and/or used to co-operate with, any local service provider staff, any female members posted on this Site, to charge our members for any reason with or without the name of CharmingDate. We don't rule out the possibility that besides using this Site and the Service, some of our members might at the same time have relationship with certain service provider that this Site presently cooperates with and/or used to co-operate with, and even pay for their service that is in no connection with this Site. We claim no warranties for the quality of their service, and carry no responsibility for any loss or damage, including personal injury or death, resulting from your use of their service. And you are solely responsible for any transactions between you and that service provider, whether online or offline.
  
  10.5  As this Site enjoys high success rate, it has built up a good reputation that is widely acknowledged by members longing to build a long-lasting relationship. However, some other websites of the same kind may illegally duplicate our business and service mode, but publish false profiles and provide fraudulent service to cheat sincere members who are serious in finding Russian or Eastern European female members for long-lasting relationship. Elite State Ltd. accepts no liability to you for any indirect, consequential, incidental, special or punitive damages, including loss of profits arising from your use of other website.
  
  
• 11. Limitation on Liability
  
  11.1  ELITE STATE LTD. IS NOT RESPONSIBLE FOR THE CONDUCT OF THE MEMBERS OF THIS SITE, WHETHER ONLINE OR OFFLINE. PLEASE USE CAUTION AND COMMON SENSE WHEN USING THE SITE AND THE SERVICE. YOUR INTERACTIONS WITH THE MEMBERS POSTED ON THIS SITE ARE ENTIRELY AT YOUR OWN RISK.
  
  11.2  ELITE STATE LTD CLAIMS IMMUNITY FROM LIABILITY TO THE FULLEST EXTENT UNDER THE LAW AND FOR CONTENTS AND SERVICES PROVIDED BY THIRD PARTIES - THE LOCAL DATING AND MARRIAGE AGENCIES IN RUSSIA AND EASTERN EUROPE THAT THIS SITE COOPERATES WITH, AND NOTHING IN THIS AGREEMENT IS INTENDED TO WAIVE, REMOVE, OR USURP SUCH IMMUNITY.
  
  11.3  IN NO EVENT WILL ELITE STATE LTD. BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING ALSO LOST PROFITS ARISING FROM YOUR USE OF THE SITE. WE DO NOT HAVE ANY LIABILITY OF ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS (INCLUDING REASONABLE ATTORNEY'S FEES) OR OTHER EXPENSES THAT ARISE DIRECTLY OR INDIRECTLY OUT OF OR FROM YOUR BREACH OF THIS AGREEMENT.
  
  11.4  ELITE STATE LTD. CLAIMS NO RESPONSIBILITY FOR THE PRIVACY PRACTICES OF ANY THIRD PARTIES AGENCIES THAT WE COOPERATE WITH. WE DO NOT DETERMINE WHICH INFORMATION WILL BE COLLECTED BY THAT THIRD PARTY FOR PURPOSE UNRELATED TO SERVICE OF THIS SITE.
  
  Risks Disclosure Notice
  
  CharmingDate.com is here to provide a platform for the exchange of Information and Correspondences between members.
  
  With particular regard to Information of lady members, they are provided to gentleman members on "as is" basis as they were made available to CharmingDate.com through registered third party service providers.
  
  In the case of Correspondences which are often originated and then replied in different languages (thus requires prior translation), the translated version is provided through the service of translator engaged by the pertinent service provider but never by CharmingDate.com.
  
  That being the case, CharmingDate.com, its operating company, directors, executives and staff cannot be held liable for loss / damages (if any) arising from the acts of those service providers in the provision of the Information and Correspondences.
  
  In engaging our CharmingDate.com services, you are deemed to having understood, agreed to the below situations (which are not meant to be exhaustive) and submit to the associated risks:-
  
  12.1 Relationship between CharmingDate.com and Service Provider
  CharmingDate.com and those registered service provider are wholly independent to each other as a matter of legal entity and in commercial operation. Service Provider is not acting as agent of or for CharmingDate.com, nor is associated or subsidiary or holding company of the operating company of CharmingDate.com . In its own capacity, service provider provides to CharmingDate.com information of certain lady members, conveys and (where necessary) provides translated version of correspondences between lady and gentleman members.
  
  12.2 Ladies' Information
  These are submitted exclusively by service providers through online facilities to CharmingDate.com. CharmingDate.com may then vet possible discrepancies, if any, between those information in electronic form by comparing the image copy of supporting documents such as personal identity card, handwritten application form and the like subjects. In no way CharmingDate.com can verify the authenticity of information thus submitted. There is therefore always the inherent risks of those information being incomplete, inaccurate or untrue as provided from service providers.
  
  12.3 Mails, Admirer mails, Cupid Note's Reply, Live Chat
  In the case of correspondence which was not drafted & submitted by lady member personally but (on most of the occasions) being translated based on the lady's instructions then submitted through translator of service provider, there is always the risks of discrepancies, incompleteness or mis-paraphrasing in the contents of the translated version. A verbatim translation is almost a job impossible.
  
  12.4 Fees chargeable to lady members
  CharmingDate.com never charges lady members fees by whatsoever description, directly or indirectly. Please bear in mind, however, there may exist service agreement between lady member & service provider by which, for example, contingency fee payable to service provider upon the lady getting married through our CharmingDate.com service. CharmingDate.com is never a party to those agreements, if any, nor in a position to disallow, discourage or investigate into the same.
  
  WARNING
  The above situations and associated risks are NOT EXHAUSITVE. Whilst CharmingDate.com endeavours to devote continuous improvement efforts and, within reason & our capability, takes precautionary measures to manage those risks to which members may be vulnerable, there are certainly situations falling beyond our control. We are on guard against these risks and look forward to members' feedback in this aspect. At the same time, WE MUST THEREFORE HAVE MEMBERS' AGREEMENT TO THE ABOVE AND ACCEPT THOSE RISKS IN ENGAGING OUR SERVICES.
  
  
• Dispute Resolution and Governing Law
  
  You agree that any action at law or in equity arising out of or related to the Agreement shall be filed only in the Courts of Hong Kong Special Administrative Region, and that you hereby consent and submit to the exclusive jurisdiction and venue of such courts. No action arising under or related to the Agreement may be brought by either party more than one year after the cause of action has occurred. This Agreement is governed and to be interpreted by the laws of the Hong Kong Special Administrative Region.
